These Terms of Service ("Terms") govern your access to and use of the IGNEVO mobile application, the ignevo.com website, and related services (collectively, the "Service"), provided by IGNEVO INC. ("IGNEVO," "we," "our," or "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Please read Sections 8 (Health, Physical Activity & Assumption of Risk), 14–15 (Disclaimers and No Warranty on Information), and 18 (Arbitration) carefully — they affect your legal rights, including by limiting our liability and requiring you to assume certain risks.
1. About the Service
IGNEVO helps you discover, plan, book, and access fitness facilities, gyms, day passes, classes, outdoor routes, and related wellness experiences worldwide, and may include curated content and concierge-style features. The Service connects you with third-party fitness facilities and providers ("Partners"). IGNEVO does not own, operate, or control Partner facilities or the services they provide.
The Service — and its plans, pricing, features, content, and promotional offers — is provided at our discretion and may be changed, added, modified, suspended, or discontinued at any time, in whole or in part, at IGNEVO INC.'s sole discretion, except that a founding-member rate, once locked, remains as described at purchase. Where a change materially affects paid features, we will provide notice as described in Sections 5 and 21.
2. Eligibility
You must be at least 18 years old to create an account. By using the Service you represent that you meet this requirement and have the legal capacity to enter into these Terms.
3. Your Account
You are responsible for the confidentiality of your credentials and for all activity under your account. Provide accurate information and keep it current. You may sign in using third-party identity providers (e.g., Sign in with Apple), subject to their terms.
4. Bookings, Cancellations & Refunds
When you book a class, day pass, or other service, you enter a transaction that may involve both IGNEVO and the relevant Partner. Bookings are subject to availability and to the Partner's own policies, including cancellation and refund windows, which are presented at or before booking. Unless a non-refundable policy is disclosed at booking, eligible cancellations are refunded to your original payment method. Day-pass and booking payments are processed by Stripe; you authorize us and our processor to charge your selected payment method for amounts owed.
5. Subscriptions & Auto-Renewal (Diplomat)
IGNEVO offers a paid Diplomat membership as an auto-renewing subscription.
- Billing & renewal. Your subscription renews automatically for successive terms (monthly or annual, as selected) at the then-current price, until you cancel. On iOS and Android, billing and renewal are handled by the Apple App Store / Google Play through in-app purchase; you may also subscribe via Stripe where offered.
- Cancellation. Cancel anytime; cancellation takes effect at the end of the current billing term. For in-app purchases, manage or cancel in your App Store / Google Play account settings (at least 24 hours before renewal); for Stripe subscriptions, in Account → Membership. Deleting the app does not cancel a subscription.
- Founding-member pricing. Promotional founding-member pricing, where offered, applies for as long as your subscription remains continuously active, as described at purchase.
- Price changes. We will notify you in advance of any price change and, where required by the app store or law, obtain your consent before it takes effect.
- Refunds. Except where required by law or by the applicable app store's policy, subscription fees are non-refundable for partial periods. In-app purchase refunds are handled by the App Store / Google Play.
6. Digital Wallet, Passes & Payment Credentials
The Service lets you store and use payment methods, day-pass credentials, booking confirmations, and check-in or QR codes, and may let you add passes to your device's digital wallet (e.g., Apple Wallet, Google Wallet) (collectively, "Wallet Items"). Payment card and bank details are collected and processed by our payment processor (Stripe) and the applicable app stores; IGNEVO does not store your full payment card number.
You are responsible for the security of your device, your account credentials, and your Wallet Items. In particular, you agree that:
- You will provide accurate, current payment information, are authorized to use any payment method you add, and authorize charges for amounts you owe.
- You will protect your device and account with a passcode, biometric lock, or equivalent, and will keep your credentials, passes, confirmation codes, and QR/check-in codes confidential and not share, sell, or transfer them.
- Wallet Items and passes may have monetary value and can be redeemed or used by anyone who has access to your device, account, or codes. A pass, code, or stored credential presented at a Partner may be honored without further identity verification.
Warning — unauthorized use. To the maximum extent permitted by law, IGNEVO is not responsible for any loss, theft, unauthorized charge, fraudulent use, or transfer of value arising from your loss or sharing of your device, account credentials, payment credentials, passes, or codes, or from your failure to secure them. If your device or credentials are lost, stolen, or compromised, or you see a charge you did not authorize, notify us at [email protected] and your card issuer, bank, or app store immediately. We may suspend, void, or cancel Wallet Items or transactions we reasonably believe to be fraudulent, compromised, or issued in error. Except where prohibited by law, passes and stored credentials are non-transferable, may expire, carry no cash value, and are void if obtained unlawfully or through fraud.
7. App Stores
If you obtain the app through the Apple App Store or Google Play, your use is also subject to that store's terms. For iOS, these Terms are between you and IGNEVO (not Apple); Apple is a third-party beneficiary and may enforce these Terms, and Apple is not responsible for the app or any claims relating to it. In-app purchases are processed by the applicable store.
8. Health, Physical Activity & Assumption of Risk
PHYSICAL EXERCISE AND FITNESS ACTIVITIES INVOLVE INHERENT AND SIGNIFICANT RISKS. USING ANY FACILITY, CLASS, ROUTE, OR ACTIVITY YOU FIND, PLAN, OR BOOK THROUGH THE SERVICE — AND ACTING ON ANY INFORMATION OR RECOMMENDATION THE SERVICE PROVIDES — COULD RESULT IN SERIOUS INJURY, ILLNESS, OR DEATH.
Consult a physician first. You should consult a licensed physician before beginning, resuming, increasing, or changing any exercise or fitness program, and in particular if you have or may have a heart condition, high blood pressure, chest pain, a history of cardiac or respiratory problems, dizziness or fainting, diabetes, a musculoskeletal injury or condition, are pregnant or postpartum, are taking medication, or are otherwise unsure whether physical activity is safe for you. Do not begin or continue any activity against medical advice.
Risks you assume. The risks of physical activity include, without limitation: muscle, tendon, ligament, and joint strains, sprains, and tears; cuts, bruises, fractures, and other orthopedic or soft-tissue injuries; overexertion, dehydration, heat illness, and abnormal blood pressure; fainting; aggravation of a pre-existing condition; heart attack, stroke, or other adverse cardiac or cardiovascular events; serious, permanent, or disabling physical injury — whether short-term or long-term — and, in rare cases, DEATH. These risks can arise from your own actions or inactions, the actions of others, the condition of a facility or route, equipment, weather or terrain, or the negligence of any party.
Stop and seek help. Stop activity immediately and seek qualified medical attention if you experience pain, chest tightness or pressure, shortness of breath, lightheadedness, nausea, irregular heartbeat, or any other warning sign. In an emergency, call your local emergency number.
Not medical advice. IGNEVO is not a medical, healthcare, or fitness-instruction provider. All content provided through the Service — including Compass outputs, readiness or recovery indicators, recommendations, difficulty ratings, and training suggestions — is for general informational purposes only, is not medical, health, or professional advice, and must not be used to diagnose, treat, or prevent any condition or as a substitute for advice from a qualified professional.
Partners are responsible for their facilities. Partners are solely responsible for the operation, safety, supervision, staffing, equipment, cleanliness, and condition of their facilities, classes, and services. A Partner may require you to complete its own health screening or sign its own waiver. IGNEVO does not control and is not responsible for the conduct, equipment, instruction, or services of any Partner.
Assumption of risk and release. To the fullest extent permitted by applicable law, you knowingly and voluntarily assume all risks associated with physical activity and with your use of any facility, class, route, or activity found, planned, booked, or accessed through the Service, whether or not those risks are described above and whether or not they are foreseeable. You participate at your own risk. To the fullest extent permitted by applicable law, you release, discharge, and agree not to sue IGNEVO and its officers, directors, employees, and agents for any claim, injury, illness, death, loss, or damage arising out of or relating to such activity or to your reliance on Service content — except to the extent caused by IGNEVO's gross negligence or willful misconduct, or where such a release is not permitted by law. You are responsible for knowing and exercising within your own physical limits.
9. SMS Notifications
If you opt in, you authorize IGNEVO to send transactional SMS (e.g., booking confirmations, reminders, account notices) to your verified mobile number. Consent is not a condition of purchase. Message frequency varies; message and data rates may apply. Reply STOP to cancel or HELP for help. See our SMS Opt-In & Messaging Policy and Privacy Policy.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which explains what we collect, where it lives (including data that stays on your device), and your choices.
11. Acceptable Use
You agree not to: use the Service unlawfully; impersonate any person or entity; interfere with or disrupt the Service; attempt unauthorized access to the Service or other users' accounts; scrape or harvest data; or use the Service to harass, abuse, or harm others.
12. Intellectual Property & License
The Service — including software, design, text, graphics, and logos — is owned by IGNEVO or its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use under these Terms.
13. Third-Party Services
The Service may link to or integrate third-party services (e.g., maps, payments). We are not responsible for their content, policies, or practices; your use of them is governed by their terms.
14. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, IGNEVO disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or fully secure. This Section is in addition to, and does not limit, the assumption of risk in Section 8 and the information disclaimer in Section 15.
15. No Warranty on Information; Routes, Trail & Venue Data
ALL INFORMATION MADE AVAILABLE THROUGH THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," FOR GENERAL INFORMATIONAL PURPOSES ONLY, WITHOUT WARRANTY OF ANY KIND — EXPRESS OR IMPLIED — AS TO ITS ACCURACY, COMPLETENESS, RELIABILITY, CURRENCY, OR FITNESS FOR ANY PURPOSE. YOUR USE OF, AND RELIANCE ON, ANY INFORMATION IS AT YOUR OWN RISK.
This includes, without limitation: outdoor route and trail data (locations, distances, elevation, difficulty or condition ratings, surface, GPS tracks, maps, and directions); venue and Partner information (addresses, hours, availability, pricing, day-pass and member rates, amenities, access rules, and contact details); Compass outputs and recommendations; ratings and reviews; and any Partner-, third-party-, or user-contributed content.
Information may be inaccurate, incomplete, out of date, or change without notice. Conditions — including weather, closures, hazards, capacity, pricing, and the status of any trail, route, or venue — can change rapidly and without notice. All information is subject to change without notice, and you are responsible for independently checking and verifying the accuracy and current status of any information — directly with the relevant Partner, official sources, and actual on-the-ground conditions — before relying on it to travel, book, navigate, or undertake any activity.
Outdoor and navigation use. Do not rely solely on the Service for navigation, route-finding, or safety in the outdoors. Routes may be inaccurate, incomplete, closed, impassable, hazardous, or cross private property or restricted land. Carry appropriate maps, equipment, and supplies; check current conditions, permits, and regulations; and assess your own ability and the environment before and during any activity. To the maximum extent permitted by law, IGNEVO is not liable for any decision made or action taken in reliance on information provided through the Service.
16. Limitation of Liability
To the maximum extent permitted by law, IGNEVO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenues. Our aggregate liability for claims relating to the Service will not exceed the greater of the amounts you paid IGNEVO in the twelve months before the claim or USD $100.
17. Indemnification
You agree to indemnify and hold harmless IGNEVO and its officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.
18. Dispute Resolution; Arbitration; Class-Action Waiver
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before filing a claim, contact us at [email protected]; we'll try to resolve it informally within 30 days.
- Binding arbitration. If unresolved, you and IGNEVO agree to resolve disputes by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that either party may bring an individual claim in small-claims court.
- Class-action waiver. Disputes will be resolved only on an individual basis; you and IGNEVO waive any right to participate in a class or representative action.
- Opt-out. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [email protected] with your name and account email.
- Relationship to other agreements. If you are also a party to a separate written agreement with IGNEVO governing confidentiality, evaluation, or partnership (including any IGNEVO Non-Disclosure Agreement), the dispute-resolution and forum-selection provisions of that agreement control over this Section 18 as to any dispute within that agreement's scope, and such disputes are not subject to arbitration under this Section.
- Injunctive relief preserved. Nothing in this Section prevents either party from seeking temporary or preliminary injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop a breach of confidentiality or intellectual-property obligations, pending resolution of the underlying dispute.
19. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles, except that the Federal Arbitration Act governs Section 18.
20. Termination
We may suspend or terminate your access at any time, with or without cause or notice. You may stop using the Service at any time. Provisions that by their nature should survive termination (including Sections 8 and 14–19 and 22) will survive.
21. Changes to These Terms
We may modify these Terms. The "Last updated" date reflects any change, and material changes will be communicated through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.
22. Miscellaneous
These Terms (with the Privacy Policy and SMS Policy) are the entire agreement between you and IGNEVO regarding the Service, except for any separate written agreement you have with IGNEVO (including any IGNEVO Non-Disclosure Agreement), which remains in effect according to its terms. If such a separate agreement conflicts with these Terms, that agreement controls as to its subject matter. If any provision is unenforceable, the rest remains in effect (severability). Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure).
